No. 37.

Introduced by Fred L. Ingraham, of Yuma County.

A Proposition Relative to Corporations.

It is hereby proposed:

Section 1. Corporations organized under the laws of Arizona may be formed to endure for twenty years and no longer, but they may renew their charter from time to time for a period not exceeding twenty years when three-fourths of the votes cast at any stockholders' meeting duly called and held for that purpose shall be in favor of such renewal, and when the corporation shall have also complied with such requirements as may be imposed by law.

Section 2. No persons acting as a corporation under the laws of Arizona, shall be permitted to set up or rely upon the want of a legal organization as a defense to any action which may be brought against them as a corporation; nor shall any person may be sued on a contract now or hereafter made with such a corporation, or sued for any injury now or hereafter done to its property or for a wrong done to its interests, be permitted to rely upon such want of legal organization in his defense.

Section 3. No corporation whether foreign or organized under the laws of Arizona shall be lawfully entitled to transact any business or enter upon any enterprise or occupation in this State until it shall have first appointed a bona fide resident of this State who has been at the time of such appointment a resident of this State for at least one year, its agent, upon whom all notices and processes including summons may be served and when so served shall be deemed, taken and held to be lawful personal service upon such corporation, and until said appointment shall have first been filed in the office of the Secretary of State. Such appointment shall state the postoffice address of such agent. This section shall not be construed to deny the right of the Legislative Department to impose other conditions upon corporations before they shall have the right to transact business or enter upon any enterprise or occupation.
